Deal preparation
The materials a serious counterparty expects: technical summaries under NI 43-101 and equivalent standards such as JORC and S-K 1300, a structured data room, and investor-ready presentations in the language of the buyer rather than the language of the mine.
Most Colombian files arrive as a folder of scanned PDFs in Spanish and a verbal history. That is not a file an investment committee can act on. Turning it into one is the single highest-return work on any mandate.
Due diligence orchestration
Title and PTO forensics, RUCOM standing, resource validation. We run the diligence before the buyer does, so nothing surfaces late and kills the deal.
The defects we find are usually fixable, and almost always cheaper to fix on our timetable than on a counterparty's. The ones that aren't fixable are worth knowing about before you spend a year in a data room.
Transaction structuring
Structures that take owners into a public listing while keeping 20 to 25 percent, so you capture the re-rating instead of selling everything for cash at the bottom of the cycle.
An outright sale prices your asset at today's frontier discount. A listing prices it at what the market pays for a compliant, financed, producing story. The difference between those two numbers is usually larger than the entire cash offer on the table.
